These Chef Deposit Terms (these "Deposit Terms") apply when you pay a deposit to reserve a build position for the Newr Chef (the "Product") with 2NNS LLC doing business as Newr ("Newr," "we," "us," or "our"). Please read them together with our General Terms and Conditions for Product Purchase (the "Purchase Terms"), which govern the purchase itself and are available at www.newrcompany.com/terms.
A deposit (the "Deposit") is an initial payment toward the purchase price of one (1) Product. The amount of the Deposit is the amount shown at checkout when you pay it and stated in your deposit receipt. The Deposit is applied in full to the purchase price. It is not a fee, a reservation charge, or a payment for any separate service, and Newr does not retain it as compensation.
Your Deposit reserves a position in Newr's production and fulfillment queue, assigned in the order Deposits are received. It does not reserve, set aside, or identify any particular unit, and no title to or ownership of any Product passes to you when you pay it. A Deposit does not establish a delivery date.
The purchase price of the Product for your Deposit is the price shown at the time you pay your Deposit, as stated in your deposit receipt. That price is fixed from that date and does not change before you pay the balance, whether or not Newr's published price changes in the meantime. Applicable sales tax and shipping and handling charges are additional and are calculated when the balance is invoiced.
When your reserved position is reached, Newr will email you a payment link for the balance of the purchase price, plus applicable sales tax and shipping and handling charges. Shipping information for your Product is communicated after Newr receives your balance payment. You must pay the balance within fourteen (14) days after Newr sends that link. If the balance is unpaid after fourteen (14) days, Newr will send you a reminder; if it remains unpaid fourteen (14) days after that reminder, Newr may cancel your reservation, release your queue position, and refund your Deposit as provided in Section 4. Newr will not charge the balance to any payment method without your paying the link.
The Deposit and the balance are the only two payments for the Product. There is no payment schedule, installment plan, or financing, and no interest, carrying charge, or service charge of any kind. Your order is accepted, and the Product is shipped, as provided in the Purchase Terms.
You may cancel your reservation at any time before you pay the balance by contacting Newr at support@newrcompany.com. Newr will refund your Deposit to the original payment method, less the payment-processing fee our payment processor retains on the Deposit and does not return to Newr when a refund is issued. That fee varies with the card and payment method used, including additional amounts for cards issued outside the United States and for currency conversion, and the exact amount deducted is shown on your refund. No other fee, charge, or deduction applies, and the Deposit is not forfeited. The same applies where Newr cancels your reservation because the balance was not paid as provided in Section 3.
Full refund. Newr will refund your Deposit in full, with no deduction of any kind, where Newr is unable to supply a Product, where Newr withdraws or changes the deposit program, or where Newr cancels your reservation because of a pricing or other error on Newr's part.
Newr will issue any refund within seven (7) business days after receiving your cancellation or sending you notice of cancellation, and in any event within the period required by applicable law.
Newr collects sales and use tax in those states where Newr is required to collect it. No sales or use tax is charged on the Deposit itself. Where Newr is not required to collect tax on your purchase, no tax is charged and you may be responsible for reporting and paying use tax on your purchase directly to your state. Any tax Newr is required to collect is calculated and shown when the balance is invoiced.
To pay a Deposit you must be at least eighteen (18) years of age and a resident of the United States, and Newr currently sells and ships Products only within the United States. Your Deposit and your queue position are personal to you and may not be transferred or assigned without Newr's prior written consent.
The Purchase Terms, the App & Device Terms of Use, and the Privacy Policy apply to your purchase of the Product, and by paying a Deposit you agree to them. Paying a Deposit does not by itself form a contract for the sale of a Product; Newr accepts your order as described in the Purchase Terms. The dispute resolution, arbitration, class-action waiver, limitation of liability, and governing law provisions of the Purchase Terms apply to your Deposit and to any dispute relating to it.
Newr may update these Deposit Terms from time to time. The version of these Deposit Terms in effect on the date you pay your Deposit governs that Deposit.
